Individuelle Vertragsabreden haben Vorrang vor \u201eAllgemeinen Gesch\u00e4ftsbedingungen\u201c (AGB). Sie m\u00fcssen im Einzelnen ausgehandelt worden sein. Aushandeln bedeutet mehr als blo\u00dfes Verhandeln. Der gesetzesfremde Kerngehalt der AGB muss inhaltlich ernsthaft zur Disposition gestellt werden. Dies setzt eine eingehende Besprechung voraus; die Klausel muss zur Disposition stehen. Es handelt sich nicht um ein Aushandeln, wenn der vorformulierte Vertrag Punkt f\u00fcr Punkt durchgegangen und er\u00f6rtert wird. Es gen\u00fcgt auch nicht, zwei Alternativen zur Verf\u00fcgung zu stellen. Es muss die reale M\u00f6glichkeit bestehen, den Inhalt der Vertragsbedingungen zu beeinflussen. Aushandeln bedeutet auch, dass nicht der eine erfolgreich um die Verbesserung seiner Position verhandelt hat, sondern dass beide Seiten eine vorherige Position aufgeben. Am Ende steht eine Ausgewogenheit der aufgegebenen Positionen.<\/p>\n<\/div>

Individual agreements<\/h5>\n

Individual contractual agreements take precedence over the General Terms and Conditions. They must be negotiated in detail pursuant to Section 305 of the BGB. The core content of the general terms and conditions extraneous to the law must be seriously discussed and questioned. This requires a detailed discussion, and the clause must be put up for negotiation. It is not a negotiation if the pre-formulated contract is gone over and discussed point by point. Nor is it sufficient to provide two alternatives. There must be a real possibility to influence the content of the contract terms. Negotiation also does not mean that one party has not successfully bargained to improve its position, but that both parties have given up a previous position. Am 23.07. meldete das Management ausgezeichnete Zahlen f\u00fcr das 2. Quartal 2020: Der Umsatz stieg um 6,7% auf $798,9 Millionen, der Gewinn je Aktie explodierte sogar um 26% auf $1,53, jeweils bezogen auf das 2. Quartal 2019. Doch diese Euphorie-Explosion des Aktienkurses war dann doch \u00fcbertrieben. Der Kurs fiel schnell wieder in den Bereich um $135 zur\u00fcck.<\/p>\n<\/div>
